1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Aether Fold," "we," "us," or "our" refers to Aether Fold, a provider of AI implementation services based in Thailand.
- "Client," "you," or "your" refers to the individual or organization engaging our services.
- "Services" means the AI implementation consulting, computer vision development, strategy workshops, and MLOps services we provide.
- "Agreement" means these Terms and Conditions together with any service-specific agreements or statements of work.
- "Deliverables" means the work product, documentation, and materials provided as part of our Services.
2. Acceptance of Terms
By engaging our Services, accessing our website, or submitting inquiries through our contact forms, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any provision, please do not use our Services.
You represent that you are at least eighteen years of age and have the legal capacity to enter into binding agreements. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Service Description
Aether Fold provides professional AI implementation services including:
- Computer vision system development and deployment
- AI strategy workshops and organizational readiness assessments
- MLOps infrastructure setup and model monitoring
- Technical consulting and implementation support
Specific service details, deliverables, timelines, and pricing are outlined in individual statements of work or service agreements. These Terms and Conditions apply to all Services unless explicitly superseded by written agreements.
4. Client Responsibilities
To enable successful service delivery, clients agree to:
- Provide accurate information about requirements, objectives, and technical constraints
- Grant necessary access to systems, data, and personnel as outlined in service agreements
- Respond to requests for information or feedback within agreed timeframes
- Ensure that provided data is properly licensed and does not violate third-party rights
- Maintain secure infrastructure and follow recommended security practices
- Designate appropriate personnel to collaborate on technical implementation
Delays caused by client failure to fulfill these responsibilities may result in timeline extensions and additional fees as outlined in service agreements.
5. Intellectual Property
Client Data and Existing IP
All data, materials, and intellectual property provided by the client remain the client's property. We claim no ownership over client data or pre-existing client IP.
Work Product
Upon full payment, clients receive ownership of custom models, documentation, and other deliverables specifically created for their project. This excludes our general methodologies, frameworks, and pre-existing tools.
License to Pre-Existing Tools
Where we utilize our pre-existing frameworks, libraries, or methodologies in delivering Services, clients receive a perpetual, non-exclusive license to use these tools as incorporated in the delivered work.
Third-Party Components
Deliverables may incorporate open-source software and third-party libraries. Clients must comply with applicable open-source licenses. We will identify significant third-party dependencies in project documentation.
6. Payment Terms
Fees for Services are outlined in individual service agreements or proposals. Unless otherwise specified:
- Payments are due within thirty days of invoice date
- All fees are stated in Thai Baht unless otherwise indicated
- Late payments may incur interest at one percent per month
- We reserve the right to suspend services for unpaid invoices
Clients are responsible for any bank fees, wire transfer costs, or currency conversion charges. Travel expenses and third-party service costs will be billed separately unless included in fixed-price agreements.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during service engagements. This obligation includes:
- Not disclosing confidential information to third parties without consent
- Using confidential information only for purposes related to the service engagement
- Protecting confidential information with reasonable security measures
- Returning or destroying confidential information upon request after service completion
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Warranties and Disclaimers
We warrant that Services will be performed with reasonable skill and care in accordance with professional standards. However, we provide Services on an "as is" basis with the following disclaimers:
- We do not guarantee specific performance metrics or business outcomes
- Machine learning models may produce inaccurate results in production environments
- Third-party software and services are provided "as is" without warranty
- We are not liable for client decisions based on our recommendations
To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
Our total liability for any claims arising from Services shall not exceed the fees paid by the client for the specific service engagement giving rise to the claim. This limitation applies regardless of the legal theory of liability.
In no event shall we be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Costs of substitute services or technology
- Damages resulting from client's use of deliverables after completion
These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability for certain types of damages, so these limitations may not apply in full.
10. Indemnification
Clients agree to indemnify and hold harmless Aether Fold, its employees, and contractors from claims arising from:
- Client's use of deliverables or services
- Client's violation of these Terms or applicable laws
- Infringement of third-party rights by client-provided materials
- Unauthorized modifications to deliverables by client or third parties
11. Termination
Either party may terminate service engagements under the following conditions:
- By mutual written agreement
- For material breach, with thirty days written notice to cure
- Immediately if the other party becomes insolvent or enters bankruptcy
Upon termination, clients must pay for work completed up to the termination date. We will deliver work in progress and return client materials. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Thailand. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Thailand.
Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiation. If negotiation fails within thirty days, either party may pursue formal dispute resolution.
13. General Provisions
Entire Agreement
These Terms, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior understandings.
Amendments
We may update these Terms periodically. Material changes will be communicated to active clients. Continued use of Services after changes constitutes acceptance.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
Assignment
Clients may not assign rights or obligations under these Terms without our written consent. We may assign our rights and obligations with notice to clients.
